1. Acceptance of Terms

By accessing or using the BoxOps platform (“Platform”), operated by Bluetomic LLC, you agree to be bound by these Terms of Use (“Terms”). If you do not agree to these Terms, you must not use the Platform.

2. Description of Service

BoxOps is a box-office intelligence platform designed for Indian movie distribution. It provides tools for tracking collections, generating analytics, managing theatre and movie data, and facilitating communication between distributors, exhibitors, producers, and their representatives.

3. Account Registration

To access certain features of the Platform, you must register for an account. You agree to provide accurate, current, and complete information during registration and to update such information to keep it accurate. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You must notify us immediately of any unauthorised use of your account.

4. Acceptable Use

You agree to use the Platform only for lawful purposes and in accordance with these Terms. You agree not to:

  • Use the Platform for any unlawful purpose
  • Attempt to gain unauthorised access to any part of the Platform or its systems
  • Scrape, crawl, or extract data from the Platform through automated means without prior written consent
  • Share your account credentials with unauthorised third parties
  • Upload malicious code, viruses, or any harmful content
  • Interfere with or disrupt the integrity or performance of the Platform
  • Use Platform data to manipulate or misrepresent box-office performance
5. Data Accuracy Obligations

Users who enter box-office collection data, financial figures, or theatre information into the Platform (including exhibitors, distributors, and their representatives) are responsible for the accuracy and completeness of such data. Entering knowingly false or misleading collection figures, ticket counts, or financial data is a violation of these Terms and may result in account suspension or termination.

6. Intellectual Property & Ownership

The Platform, including its design, code, analytics algorithms, branding, and documentation, is the intellectual property of Bluetomic LLC. You are granted a limited, non-exclusive, non-transferable licence to use the Platform for its intended purpose. You may not copy, modify, distribute, or reverse-engineer any part of the Platform. You retain ownership of the data you submit to the Platform. By submitting data, you grant Bluetomic LLC a non-exclusive licence to use, process, and display such data as necessary to operate the Platform and provide analytics services. Aggregated and anonymised data may be used for industry benchmarking and research purposes.

7. Prohibited Activities

In addition to the restrictions outlined in Acceptable Use, you shall not:

  • Use the Platform to infringe upon the intellectual property rights of others
  • Engage in any activity that could damage, disable, or impair the Platform
  • Attempt to decipher, decompile, or disassemble any software comprising the Platform
  • Use any robot, spider, or other automatic device to access the Platform for any purpose
  • Introduce any viruses, trojan horses, worms, or other malicious material
8. Service Availability

We strive to maintain the availability of the Platform but do not guarantee uninterrupted access. The Platform may be temporarily unavailable due to maintenance, updates, or circumstances beyond our control. We shall not be liable for any loss or damage resulting from Platform downtime.

9. Disclaimers

The Platform is provided “as is” and “as available” without warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Platform will be error-free or that any defects will be corrected.

10. Limitation of Liability

To the maximum extent permitted by law, Bluetomic LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of or inability to use the Platform. This includes, but is not limited to, loss of revenue, data, or business opportunities. Our total liability for any claim arising from these Terms or the Platform shall not exceed the amount you paid us in the twelve (12) months preceding the claim.

11. Indemnification

You agree to indemnify, defend, and hold harmless Bluetomic LLC, its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in any way connected with your access to or use of the Platform, your violation of these Terms, or your violation of any rights of a third party.

12. Termination

We reserve the right to suspend or terminate your access to the Platform at any time, with or without cause, and with or without notice. Upon termination, your right to use the Platform ceases immediately. You may also terminate your account at any time by contacting us. Provisions that by their nature should survive termination (including intellectual property, limitation of liability, indemnification, and governing law) shall remain in effect.

13. Governing Law

These Terms shall be governed by and construed in accordance with the laws of India. Any disputes arising from these Terms or your use of the Platform shall be subject to the exclusive jurisdiction of the courts in India.

14. Changes to These Terms

We may update these Terms from time to time. We will notify registered users of material changes via email or an in-platform notice. Continued use of the Platform after changes constitutes acceptance of the revised Terms.
